Terms of Service

These Terms of Service ("Terms") govern your access to and use of the cloud hosting, compute, and managed IT services (collectively, the "Services") provided by Cloudang Network LLC ("Cloudang," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By ordering, accessing, or using any of our Services, you represent that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Acceptable Use Policy (AUP). If you do not agree to these Terms, you must not use the Services.

2. Eligibility

You must be at least 18 years of age and capable of entering into a legally binding agreement to use the Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Services and Availability

Cloudang provides cloud VPS hosting, dedicated compute resources, and managed IT services. While we strive to maintain a 99.9% network uptime, the Services are provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

4. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Ensuring that your use of the Services complies with all applicable laws and regulations.
  • Promptly notifying us of any unauthorized use of your account.

5. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy (AUP). Prohibited activities include, but are not limited to, sending spam, hosting malicious content, conducting DDoS attacks, or engaging in any activity that disrupts the integrity or performance of our network.

6. Payment and Billing

Fees for the Services are set forth on our website or in a separate order form. You agree to pay all applicable fees in a timely manner. Late payments may result in suspension or termination of your Services. All fees are non-refundable unless otherwise stated in writing.

7. Intellectual Property

All software, technology, and content provided by Cloudang in connection with the Services are owned by Cloudang or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.

8. Limitation of Liability

To the maximum extent permitted by law, Cloudang shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Services.

9. Indemnification

You agree to indemnify and hold harmless Cloudang Network LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.

10. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

Acceptable Use Policy (AUP)

This Acceptable Use Policy ("AUP") governs the use of all services, networks, and infrastructure provided by Cloudang Network LLC ("Cloudang," "we," "us," or "our"). This AUP is incorporated by reference into our Terms of Service and applies to all customers, users, and any party accessing the Services.

By using the Services, you agree to comply with this AUP. We reserve the right to modify this AUP at any time, and your continued use of the Services constitutes acceptance of any changes.

1. Purpose and Scope

The purpose of this AUP is to protect the integrity, security, and performance of Cloudang's network, services, and infrastructure, as well as the experience of all our customers. This policy applies to any content transmitted, stored, or processed through our Services, and to any activity conducted on or through our network.

2. Prohibited Activities

You may not use the Services to engage in, facilitate, or promote any of the following activities:

2.1 Illegal or Harmful Content

  • Hosting, distributing, or linking to child sexual abuse material (CSAM) or any content that exploits minors.
  • Publishing or distributing content that incites violence, terrorism, or hatred against any individual or group.
  • Storing or transmitting content that violates any applicable local, state, national, or international law.
  • Hosting malware, ransomware, phishing kits, or any other malicious software or code.

2.2 Network Abuse

  • Launching or participating in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks.
  • Port scanning, vulnerability scanning, or any form of unauthorized network reconnaissance against systems you do not own or have explicit permission to test.
  • Interfering with or disrupting the integrity or performance of our network or the networks of others.
  • Attempting to gain unauthorized access to any system, network, or data.

2.3 Spam and Unsolicited Communications

  • Sending unsolicited bulk email (spam), including commercial advertising and informational announcements.
  • Operating open mail relays or open proxies.
  • Harvesting email addresses or other personal data without consent.
  • Distributing chain letters, pyramid schemes, or other fraudulent communications.

2.4 Resource Abuse

  • Using excessive CPU, memory, disk I/O, or network bandwidth in a manner that degrades service for other customers.
  • Running cryptocurrency mining operations on shared or VPS infrastructure without prior written authorization.
  • Hosting IRC servers, botnets, or command-and-control (C2) infrastructure.
  • Any activity that consumes shared resources in a way that is disproportionate to your service plan.

2.5 Fraud and Deception

  • Engaging in fraudulent transactions, identity theft, or phishing.
  • Misrepresenting your identity or affiliation with any person or organization.
  • Operating fake or deceptive websites designed to defraud users.

2.6 Intellectual Property Violations

  • Hosting, distributing, or linking to pirated software, media, or other copyrighted material without authorization.
  • Using the Services to infringe on any patent, trademark, trade secret, or other proprietary right.

3. Customer Responsibilities

As a customer, you are responsible for:

  • Ensuring that your use of the Services complies with this AUP and all applicable laws.
  • Maintaining the security of your account credentials and any systems you operate on our network.
  • Promptly responding to any abuse notifications or security alerts we send you.
  • Ensuring that any end users or third parties you grant access to your services also comply with this AUP.
  • Implementing reasonable security measures to prevent your systems from being compromised and used for abusive purposes.

4. Security Obligations

You are responsible for the security of your own systems and data. This includes, but is not limited to:

  • Keeping your software, operating systems, and applications up to date with security patches.
  • Using strong passwords and, where available, multi-factor authentication.
  • Configuring firewalls and access controls appropriately.
  • Regularly monitoring your systems for signs of compromise or unauthorized activity.
  • Promptly notifying us at info@cloudang.com if you become aware of any security breach or compromise involving your account or our Services.

5. Reporting Abuse

If you become aware of any violation of this AUP, please report it to us at info@cloudang.com. Please include as much detail as possible, including:

  • The IP address, domain name, or URL involved.
  • Any evidence or logs that may be relevant.
  • Your contact information, if you would like us to follow up with you.

We take all abuse reports seriously and will investigate promptly. We may cooperate with law enforcement and other third parties in investigating violations.

6. Enforcement and Consequences

Violations of this AUP may result in one or more of the following actions, at our sole discretion:

  • Issuance of a warning and a request to remediate the violation.
  • Temporary suspension of the affected service(s).
  • Permanent termination of the account and all associated services.
  • Removal or deletion of offending content.
  • Reporting to law enforcement or other appropriate authorities.
  • Charging administrative fees for investigating and responding to violations.
  • Legal action to recover damages or seek injunctive relief.

In serious cases, such as those involving DDoS attacks, malware distribution, or child exploitation material, we may suspend or terminate services immediately and without prior notice.

7. Cooperation with Investigations

Cloudang reserves the right to cooperate with law enforcement agencies and other third parties in investigating any suspected violation of this AUP or applicable law. We may disclose information about your account and use of the Services as required by law or legal process.

8. No Monitoring Obligation

While we reserve the right to monitor our network and Services for compliance with this AUP, we are not obligated to do so. We do not assume any liability for content or activity that violates this AUP but is not detected or acted upon. You are solely responsible for your own conduct and content.

9. Limitation of Liability

Cloudang shall not be liable for any damages, losses, or claims arising from your violation of this AUP or from our enforcement actions taken in good faith to protect our network, our customers, or the public. Our enforcement decisions are final and binding.

10. Amendments

We may update this AUP from time to time to reflect changes in our practices, technology, or legal requirements. Material changes will be posted on our website with an updated "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised AUP.
